1. Acceptance of Terms

By accessing, browsing, or otherwise using the ClaygenticAI website (the "Site"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), along with our Privacy Policy and Cookie Policy, which are incorporated herein by reference.

If you do not agree with any part of these Terms, you must immediately discontinue your use of the Site. Your continued access to or use of the Site following any changes to these Terms constitutes your acceptance of those changes.

These Terms apply to all visitors, users, and others who access the Site, whether on behalf of themselves or on behalf of a business entity.

2. Description of Service

The Site is a static marketing website operated by ClaygenticAI, a product of cDiscovery. The Site provides general information about the ClaygenticAI platform, its features, capabilities, and related resources for prospective and existing customers.

The Site is informational in nature and does not provide access to the ClaygenticAI product platform itself. Access to and use of the ClaygenticAI platform, including its AI-powered agent workflows, data integrations, and related services, is governed by a separate Master Services Agreement ("MSA") entered into between cDiscovery and the subscribing customer. Nothing on this Site shall be construed as granting any rights to use the ClaygenticAI platform without a duly executed MSA.

ClaygenticAI reserves the right to modify, suspend, or discontinue any aspect of the Site at any time without prior notice or liability.

3. Intellectual Property

All content, materials, and elements available on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, page layouts, underlying code, software, and the overall design and trade dress of the Site (collectively, "Content"), are the exclusive property of ClaygenticAI, cDiscovery, or their respective licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The ClaygenticAI name, logo, the "cAI" mark, and all related names, logos, product and service names, designs, and slogans are trademarks of ClaygenticAI and cDiscovery. You may not use such marks without prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the Content on the Site solely for your personal, non-commercial informational purposes. All rights not expressly granted herein are reserved. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content on the Site without the prior written consent of ClaygenticAI, except as permitted by applicable law.

4. User Conduct

When using the Site, you agree to comply with all applicable laws and regulations and to refrain from engaging in any conduct that is harmful, unlawful, or otherwise objectionable. Specifically, you agree not to:

• Attempt to gain unauthorized access to any portion of the Site, its servers, systems, or networks connected to the Site, whether through hacking, password mining, or any other means.
• Use any automated system, including but not limited to web scrapers, bots, crawlers, spiders, or data-mining tools, to access, scrape, or collect content or data from the Site without express written permission.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, or structure of any part of the Site.
• Upload, transmit, or distribute any viruses, worms, Trojan horses, malware, ransomware, or any other harmful or disruptive code or material.
• Interfere with, disrupt, or impose an unreasonable or disproportionately large load on the Site's infrastructure, servers, or networks, including through denial-of-service attacks or similar interference.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity, including ClaygenticAI or cDiscovery.
• Use the Site for any unlawful purpose or in furtherance of any illegal activity, or solicit others to perform or participate in any unlawful acts.
• Remove, alter, or obscure any copyright notice, trademark, or other proprietary rights notice displayed on the Site.

ClaygenticAI reserves the right to take any action it deems necessary to address violations of these prohibitions, including restricting or blocking access to the Site without prior notice.

5. Third-Party Links

The Site may contain hyperlinks to websites, resources, or services operated by third parties ("Third-Party Sites"). These links are provided solely for your convenience and informational purposes. ClaygenticAI does not control, endorse, sponsor, or assume any responsibility for the content, privacy policies, practices, or availability of any Third-Party Sites.

Accessing any Third-Party Site from the Site is entirely at your own risk. Without limiting the foregoing, ClaygenticAI makes no warranty or representation that: (a) the Site will meet your requirements or expectations; (b) the Site will be uninterrupted, timely, secure, or error-free; (c) the information or content obtained through the Site will be accurate, reliable, complete, or current; or (d) any defects or errors in the Site will be corrected.

7. Limitation of Liability

To the extent that the foregoing limitation of liability is not permitted by applicable law, in no event shall the total aggregate liability of ClaygenticAI, cDiscovery, and their respective affiliates, officers, directors, employees, agents, suppliers, and licensors, arising out of or relating to your use of or inability to use the Site, exceed one hundred United States dollars (USD $100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

8. Indemnification

You agree to defend, indemnify, and hold harmless ClaygenticAI, cDiscovery, and their respective affiliates, officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your access to or use of the Site;
• Your violation of these Terms;
• Your violation of any applicable law, regulation, or third-party right, including but not limited to any intellectual property, privacy, or publicity right;
• Any content or information you submit, post, or transmit through the Site; or
• Any dispute between you and a third party arising from your use of the Site.

ClaygenticAI reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without the prior written consent of ClaygenticAI.

9. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to these Terms or the Site shall be governed by, construed, and enforced in accordance with the laws of the State of Texas, United States of America, without regard to its conflict-of-law principles.

You agree that any legal action, suit, or proceeding arising out of or relating to these Terms or your use of the Site shall be instituted exclusively in the federal or state courts located in the State of Texas, and you irrevocably submit to the personal jurisdiction of such courts for the purpose of any such action, suit, or proceeding. You waive any objection you may have to the laying of venue in such courts and any claim that any such action, suit, or proceeding has been brought in an inconvenient forum.

Any cause of action or claim you may have arising out of or relating to these Terms or the Site must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred.

ClaygenticAI reserves the right to modify, amend, or update these Terms at any time and at its sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page. We may, but are not obligated to, provide additional notice of significant changes (such as through a banner on the Site or via email).

Your continued use of the Site after any modifications to these Terms constitutes your binding acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Site immediately.
